These general terms and conditions of services (the "Terms and Conditions") are issued by LASQO, a French société par actions simplifiée trading as "PLETOR", registered with the Paris Trade and Companies Register under number 925 215 261, having its registered office at 6 rue Marc Seguin – 75018 Paris, duly represented by Ferdinand Terme in his capacity as President ("PLETOR") and apply to any professional customer, within the meaning of the French Consumer Code, having subscribed to PLETOR's services or any legal or natural person to whom PLETOR provides its services or who uses its platform (the "Client" or "you").
The following capitalized terms, whether used in the singular or plural, shall have the meanings defined below, without prejudice to the terms defined in the body of the Terms and Conditions.

| Agent | means a workflow created by the Client within the Platform consisting of the orchestration of one or more AI models and related parameters. Agents operate only within the Platform and cannot be exported outside of it. |
| Agreement | means the Specific Conditions and the Terms and Conditions, which together define the rights and obligations of the Parties regarding the provision and use of the Services. |
| Authentication Credential | means the identification information of one or more Users e-mail address and password enabling them to authenticate themselves on the Platform and access to the Services. |
| Client Submission(s) | means any textual, visual or any other type of inputs submitted by the User on the Platform, including (without limitation) prompts, files, datasets, instructions, parameters and workflow configurations. |
| Confidential Information | means all the terms of the Agreement (including its financial conditions) and all confidential commercial, financial, marketing, business and technical information and data (regardless of whether specifically identified as confidential), including, without limitation, any non-public, proprietary and confidential information, ideas, know-how, strategies, tools, processes, business methods, know-how, personal data, supplier or business information and all other confidential information of whatever nature in whatever form concerning the business and affairs of the Parties that each Party obtains, receives or has access to as a result of the discussions leading up to, or the entering into, or performance of the Agreement. |
| Intellectual Property Rights | means any industrial, literary or artistic property rights (whether registered or not), in particular, any copyrights, designs or models, trademarks, patents, rights relating to the Internet and/or domain names, know-how. |
| Knowledge | means all information and technical knowledge, whatever their nature and medium, such as patents, intellectual works, trade secrets, software (in its source code or object code version and associated documentation), know-how, data, databases, methods, methodologies, processes, tool designs, specific components, specifications, files, plans, schematics, drawings, formulas and/or any other type of information, in any form whatsoever, whether patented or patentable, protected, protectable or not by an Intellectual Property Right, belonging to each Party or over which it holds rights of use prior to the date of entry into force of the Agreement and/or developed or acquired in parallel and/or independently of the performance of the Agreement. The Knowledge do not include any personal data. |
| PLETOR Account | means the Client's account on the Platform for the purpose of using the Services by the User(s). |
| License | means the license(s) granted by PLETOR to the Client and the Users to use the Platform and access the associated Services in accordance with the Specific Conditions (in terms of duration, price, etc.). |
| Party / Parties | means PLETOR and/or the Client. |
| Platform | means the software developed by PLETOR under the name "PLETOR", provided as a SaaS solution (Software as a Service) to Client and User, including its updates and developments under the Agreement and subject to the granted License. |
| Outputs | means any AI-generated content created on the Platform via Agents based on Client Submissions and provided to the Client in accordance with the Agreement. Such content may incorporate each Party’s Knowledge. |
| Services | means the services provided by PLETOR and subscribed to by the Client under the Specific Conditions through its subscription, including but not limited to access to the Platform and any additional selected services. |
| Specific Conditions | means any conditions expressly agreed between the Parties during the Client's subscription to the Services (quotation, etc.). |
| Terms and Conditions | means this document, including the Appendix 1. |
| User | means any person designated by the Client and authorized by PLETOR to access the Platform and benefit from the Services. |
The purpose of these Terms and Conditions is to define the conditions under which PLETOR grants the Client and the Users Licenses to use the Services.
All Licenses, Services and offers of Services by PLETOR shall be exclusively governed by the Terms and Conditions, to the exclusion of any Client's terms and conditions. In the event of a contradiction between the Terms and Conditions and the Specific Conditions, the latter shall prevail.
PLETOR reserves the right to modify the Terms and Conditions at any time. If, after receiving notice of such modifications (which may be provided via email to the address associated with your PLETOR Account, a notice posted on the Services, or any other reasonable means), you continue access to or use of the Services, you agree that such access or use shall constitute your acceptance of, and agreement to, the revised Terms and Conditions. If you do not agree to the updated Terms and Conditions, you must cease accessing and using our Services.
PLETOR provides the Client with access to the Platform enabling the creation, management and orchestration of workflows (“Agents”) that connect various third-party AI models to generate Outputs ****according to the Client’s specific needs. The details of the Services can be found on PLETOR’s website, at the following address: https://www.pletor.ai/.
PLETOR's Services are exclusively available to professionals acting within the scope of their business activities.
The Client can subscribe to the Services directly on the PLETOR website (https://www.pletor.ai/) or by contacting PLETOR directly.
The Client is informed that in order to subscribe to the Services and access to the Platform, the Client must create an individual account on the Platform by filling in the following mandatory information: in particular, first name, last name, professional email address and password. Any subscription to the Services can only be registered if all the fields identified as mandatory are duly completed by the Client.
PLETOR acknowledges receipt of the subscription request by sending a confirmation email to the email address provided. This email shall summarize the information relating to the subscription request and may, if necessary, mention any difficulties. A subscription to the Services becomes firm and definitive for PLETOR as soon as the confirmation email is sent to the Client without reservation.
The Client guarantees that all information communicated in the context of its subscription to the Services complies with the Terms and Conditions, is accurate and up to date. Otherwise, PLETOR reserves the right to cancel its subscription and any corresponding payments.
